Special General Meeting

30th April 2019

Notice of a Special General Meeting

to be held on Tuesday, 30 April 2019 at 2.00pm in St Mark’s Church Hall

The following changes to our Constitution are being proposed by your Committee and will be voted on at the meeting.

The U3A National Office has prepared a new Model Constitution and is recommending that individual U3As adopt it as appropriate. The National Office has consulted the Charity Commission who have agreed the wording for the objectives of a U3A. If adopted, all the activities of the U3A will be judged as being charitable.

It is therefore proposed that Clause 2.1 of the Farnborough and District U3A Constitution be deleted and replaced with the following:

2.1 Objects

The purpose of the U3A is the advancement of education, and in particular the education of older people and those who are retired from full time work, by all means including associated activities conducive to learning and personal development.

Please note: the Third Age Trust has confirmed that we, and other U3As in a similar position, can implement this change even though amendments to Clause 2 are prohibited by our Constitution.

Accounting year end

Your Committee is recommending that the present end of year as end of August to be brought forward to the end of July. This will better reflect the end of the year . U3A activities and make for simpler the preparation of the accounts. If approved it will also mean changing the period available for preparing the accounts to enable the AGM to continue to be held at the end of October.

The following amendments to the Constitution are therefore proposed.

6.3 delete and replace with:

The financial year of the U3A shall end on the 31st July in each year and not more than three calendar months later the Annual General Meeting shall be convened for the purpose of receiving the Annual report and audited accounts.
